Terms of Service

Last updated 2026-09-30. These terms govern your use of the Ninthgate exchange, its panel, feeds and API (the "Service"), operated by Clixmax LLC, 6300 N Wickham Road, Suite 130 #337, Melbourne, FL 32940, USA ("we", "us").

1. Accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account details, for keeping your credentials, feed authentication tokens and API tokens secret, and for all activity under your account. We may suspend or close an account that breaches these terms.

2. Publishers

You may send us only traffic you own or are authorised to monetise, generated by real human visitors. You must pass the real visitor IP address and User-Agent on server-to-server requests. Prohibited: bots, automated or incentivised clicks, hidden or stacked placements, forced redirects the visitor did not initiate, cookie stuffing, malware, and traffic from sources that violate applicable law.

You are paid on partner-verified revenue only. For each click or impression we sell on your behalf, your earnings are your revenue share of the amount the buying demand partner’s own reporting confirms it paid for that traffic, identified by the sub id we send with it. The winning bid in an auction is an offer, not a payment, and it is never the basis of your earnings. Nothing is credited to your balance until that confirmation arrives, which is normally about two days after the day the traffic ran; until then the traffic appears in your panel as pending confirmation and is not part of your balance.

Traffic the buying partner does not accept, and traffic that our filters or an independent verification service judge invalid, earns nothing and is shown in your panel as rejected. If a partner later revises a confirmed figure, your balance is adjusted to the revised figure, up or down. Earnings credited before 30 September 2026 were calculated on our own auction figures; where a partner’s confirmation for that period exists, those balances have been adjusted to the confirmed figure. Payouts are made monthly to the payout method on file once your verified balance reaches the minimum shown in the panel ($50 unless stated otherwise). You are responsible for providing a correct payout destination and for your own taxes.

3. Advertisers

Advertising is prepaid. Deposits are made in crypto (USDT / USDC) or via Capitalist and are final and non-refundable once credited, except where we are required by law to refund. Unspent balance remains available for future campaigns. You are solely responsible for your ads and landing pages: they must be lawful, must not contain malware, phishing, deceptive or misleading claims, and must not infringe anyone's rights. We may pause any campaign or creative at any time. Charges are based on our measurement.

4. Content and quality

Adult content may be served only on inventory and in campaigns classified as adult. Content involving minors in any sexual context, non-consensual content, hate, and illegal goods or services are prohibited without exception and are reported where required.

5. Acceptable use

Do not attempt to interfere with the Service, probe or bypass its security, scrape it beyond documented API limits, or resell access to it without our written consent.

6. Fees and changes

Revenue shares, prices and minimums are shown in the panel and may change with notice in the panel or by email; continued use after a change is acceptance of it.

7. Disclaimers and liability

The Service is provided "as is" and "as available". We do not guarantee any level of fill, revenue or traffic quality. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages or lost profits, and our total liability for any claim is limited to the amounts paid to or by you through the Service in the 30 days before the claim arose.

8. Indemnity

You will defend and indemnify us against third-party claims arising from your traffic, your ads, your content or your breach of these terms.

9. Termination

You may close your account at any time. We may suspend or terminate access for breach, suspected fraud, or legal requirement. Earnings on valid traffic up to termination are paid on the normal schedule unless withheld for invalid traffic or breach.

10. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Disputes are resolved in the courts located in Delaware.
